CODE OF CONDUCT FOR THIRD PARTIES
Message from the Governing Body
At ÁRGOLA ARQUITECTOS SLP, we recognize the importance of inspiring and basing our activity on the fundamental principles of regulatory compliance and zero tolerance for any violations of applicable regulations. All of this, together with our commitment to transparency, good governance, and integrity, has led us to agree to implement a Criminal Risk Prevention Program (hereinafter, the CRP Program).
The PRP Program aims to provide our organization with the policies, procedures and mechanisms to safeguard compliance with the regulations applicable to our entity, as well as the ethical and legal principles that govern it.
Within the framework of the above, ÁRGOLA ARQUITECTOS SLP has approved this Code of Conduct for third parties, which sets out the principles of conduct expected in our commercial and/or professional relationships with the third parties with whom we interact, so that, together with all our professional members, we contribute to generating a professional environment based on ethics and regulatory compliance.
To achieve this, the commitment and good practices of both our organization and the third parties with whom we interact are essential. We are counting on you to ensure compliance with the Code of Conduct for third parties.
1. Introduction
At ÁRGOLA ARQUITECTOS SLP we are a consolidated organization in the ARCHITECTURE SERVICES sector.
Ethical and regulatory compliance is the foundation of the decisions we make in our professional practice. Therefore, we have approved the implementation of a Criminal Risk Prevention Program (hereinafter, the CRP Program).
In relation to the implementation of the PRP Program, a Compliance Officer has been appointed who will be responsible for managing, supervising and communicating the implementation of the policies derived from the PRP Program in collaboration, support and supervision of the organization's governing body.
At ÁRGOLA ARQUITECTOS SLP, we consider the third parties with whom we maintain commercial and professional relationships as essential elements for achieving our objectives, seeking to establish relationships with them based on trust and mutual benefit, since they actively participate in our value chain.
For this reason, we encourage, promote and ensure that the third parties with whom we interact comply with ethical standards and current and applicable regulations in their commercial and/or professional relationships.
Within the framework of the above, at ÁRGOLA ARQUITECTOS SLP we have developed a Code of Conduct for third parties which aims to define the ethical and performance standards that must be met by all those third parties with whom we maintain commercial and professional relationships and thus contribute to making decisions in accordance with the law.
However, this Code cannot cover all situations or circumstances that we may encounter in our commercial and/or professional relationships, but it should be the basis for action and decision-making in them.
Finally, the guidelines for action contained in the Code of Conduct shall not, under any circumstances, replace the provisions established in current and applicable regulations. Likewise, the Code shall be interpreted in accordance with said regulations.
2. Scope of Application
This Code of Conduct applies to all natural and legal persons with whom we have professional and commercial relations in the performance of our activities, regardless of the existing contractual relationship with them or the geographical location where they carry out their work.
Therefore, we understand the natural and legal persons with whom we maintain professional and commercial relationships to be all our suppliers, service providers, clients, advisors, collaborators, etc.
3. Principles of the Code of Conduct for Third Parties
The Code of Conduct for third parties of ÁRGOLA ARQUITECTOS SLP, which will govern the organization's relations with third parties, is based on the following ethical principles and values, which are also present in all our actions and decisions within the organization:

- Good faith and honesty.
- Respect and commitment to the confidentiality of personal data.
- Respect and equal treatment.

4. Behavioral Criteria

We are highly committed to regulatory compliance and adherence to the laws and regulations that apply to us, and we work to ensure that all members of the organization comply with them in the development of all our actions and decisions.
We also support and promote respect for internationally recognized human rights. Therefore, we prohibit all forms of child labor, forced labor, and labor performed under threat or reprisal; we respect labor laws, recognizing workers' rights to assembly, association, unionization, and collective bargaining, as well as their right to fair remuneration; and we promote equal opportunities for women and men in a fair manner.
We expect third parties to conduct their activities in accordance with the highest ethical standards and in strict compliance with all applicable legislation. Furthermore, we expect them to ensure that their decisions and actions respect human rights, taking all necessary measures to this end.
Commitment to Transparency, Honesty and Integrity
We are deeply committed to achieving all our goals and to conducting each and every one of our actions and activities in a transparent and honest manner. That is why we prioritize quality and best practices in all our commercial and/or professional endeavors.
We expect third parties to act transparently at all times, respecting the agreed conditions.
Commitment Against Conflicts of Interest
We are committed to respecting the interests of everyone within our organization and those with whom we interact. Furthermore, we strive to ensure that all our organizational decisions are based on objective criteria and free from the influence of personal interests or relationships. Therefore, we have established guidelines for addressing situations that could potentially present a conflict of interest.
Commitment to Accounting, Tax and Fiscal Obligations
We are committed to maintaining up-to-date books, accounts and records so that they reflect at all times the true accounting and solvency situation of the organization, thus complying with current regulations, procedures and obligations in fiscal, tax, financial and accounting matters.
Commitment Against Money Laundering
We are committed to the fight against money laundering and do not want to be involved in any illegal activity, so we pay particular attention to compliance with regulations relating to money laundering.
Commitment Against Corruption, Bribery and Influence Peddling
We are committed to the fight against bribery and influence peddling, therefore we do not tolerate corruption in any of its forms and we are committed to clear, honest, sincere and transparent relationships with all third parties with whom we interact, including members of public administrations.

We are committed to the integrity, availability, and confidentiality of personal data and guarantee the implementation of appropriate technical, organizational, and security measures to ensure adequate protection of the personal data we process in our organization.
Commitment to Information Assets and Computing Resources
We are committed to making good use of the organization's information assets in the performance of our activities, as they are essential to achieving our objectives.
Commitment to Information Society Services and Electronic Commerce
We are committed to complying with regulations relating to Information Society Services and Electronic Commerce, providing users with complete, clear and understandable information.
Commitment to Intellectual and Industrial Property
We are committed to respecting and protecting the rights to patents, trademarks, designs, software, utility models, literary, artistic or scientific creations of our own and those of our competitors, business partners and third parties, prohibiting any practice that could involve the use or exploitation of said rights without the corresponding permission and/or authorizations.
Commitment to Corporate Image and Reputation
We are committed to maintaining an excellent image and reputation for our organization, as it is an essential asset for preserving and building trust with our users.
Commitment to the Environment and Natural Resources
We are committed to the preservation, respect and protection of the environment in all our activities, complying with current and applicable legislation and developing our activities in a way that reduces negative environmental impacts.
Commitment to Respect for Our Professional Members and Third Parties
We are highly committed to our collaborators, users, and any third party with whom we interact in the development of our professional and/or commercial activities, as they are a fundamental and essential part of our business.
Commitment to Occupational Safety and Health
We are determined to preserve the rights of workers, as well as safety and health in our work environment, providing all the means and resources to prevent workplace accidents.
5. Ethics Channel
All persons related to the organization, that is, its professional members and the third parties with whom we interact, must inform us of situations or facts relating to violations, breaches of this Code of Conduct for third parties or of any internal regulations, policies or procedures, as well as any act contrary to the principles and values of our entity, of which they become aware, as soon as possible.
6. Non-compliance
ÁRGOLA ARQUITECTOS SLP will refrain from establishing commercial, contractual, or professional relationships with those who violate this Code of Conduct for Third Parties and the principles derived from it. If a third party fails to comply with the requirements or provisions of this Code of Conduct for Third Parties, they must take the necessary measures and actions to remedy the breach and prevent its recurrence. Furthermore, depending on the severity and frequency of the breach, ÁRGOLA ARQUITECTOS SLP reserves the right to terminate any contractual, commercial, or professional relationship with the third party.
7. Approval, Entry into Force
This Code of Conduct for third parties will enter into force upon its approval by the governing body of the Criminal Risk Prevention Program and will be binding on the recipients from the date of its communication, ratification, and/or signature. Furthermore, this Code will remain in force until its update, revision, or repeal is approved.
8. Third Party Commitment
